Article 1 — Introduction and Purpose
1-1. This document sets out the terms and conditions for using the Houfida platform, provided by Dad Afzar Houshmand Pars Gostar under the trade name Dahoup. Houfida is a software platform offering tools for managing professional legal work, organizing cases and documents, providing deadline reminders, offering AI-assisted tools, and delivering other services announced on the platform.
1-2. Using the platform, creating an account, purchasing a subscription, or using any of its services constitutes the user's acceptance of these terms.
1-3. Before using the platform, the user must read this document and the Houfida User Privacy and Information Protection Policy. The Privacy Policy supplements these terms with respect to the collection, processing, retention, disclosure, and deletion of user information.
1-4. Users who do not accept the Terms of Use are not permitted to use the platform's services.
Article 2 — Definitions
2-1. Company: Dad Afzar Houshmand Pars Gostar, the owner and provider of Houfida services within the scope of the relevant legal rights and authorizations.
2-2. Platform: The software, website, user dashboard, tools, features, and services provided under the Houfida name.
2-3. User: Any natural or legal person using the platform, including lawyers, trainee lawyers, and other persons authorized to use the services under the published rules.
2-4. User Information: Identity, professional, and account information, documents, cases, correspondence, input data, requests, and other information that the user records, uploads, or generates on the platform.
2-5. AI Services: Features provided using in-house AI models, third-party services, or a combination of them to analyze information, extract data, offer suggestions, generate drafts, or perform supporting tasks.
2-6. Subscription: Authorization to use the platform's services for the period, feature level, and financial terms specified for each plan.
Article 3 — Nature of the Services and Scope of the Platform
3-1. Houfida is a supporting software tool for organizing and facilitating professional legal activities. It is not, in itself, a law firm, a lawyer, a judicial authority, or a provider of guaranteed legal services.
3-2. Depending on the selected plan, enabled features, and available technical capabilities, the platform's services may include managing case information, storing and categorizing documents, calendars and deadline reminders, search, information analysis, and drafting legal texts.
3-3. The inclusion or announcement of a feature in a development program, advertising, a trial version, or a product roadmap does not, in itself, mean that the feature is available or that the Company has made a binding commitment to deliver it by a specified date, unless a specific commitment has been accepted in writing.
3-4. Any connection to judicial, registration, or other official systems, including authorized official judicial systems, is subject to technical feasibility, valid authorization or access, and compliance with the rules of the relevant authority. The Company is responsible for providing such services only to the extent that the relevant capabilities have actually been made available.
3-5. The Company undertakes to provide the purchased services within the features announced for the relevant plan. However, service delivery may be affected by technical maintenance, infrastructure disruptions, internet restrictions, changes to third-party services, or factors beyond the Company's reasonable control.
Article 4 — Account Creation and Identity Verification
4-1. The user must provide accurate, complete, and up-to-date information when registering and must update that information whenever it changes.
4-2. Depending on the service, use of features reserved for lawyers or other professional groups may require verification of identity, professional capacity, or the validity of professional information.
4-3. The user may not create an account or use features restricted to a particular group of users by using a false identity, inaccurate professional credentials, or another person's information.
4-4. Where there is reasonable uncertainty about a user's identity or eligibility, the Company may suspend certain services until the information has been reviewed. Such action must be proportionate to the need for review and limited to what is necessary.
4-5. An account generally belongs to the person who registered using valid information. Assigning, selling, renting, or transferring an account to another person is prohibited unless the Company has expressly permitted it.
Article 5 — Account Security and Responsibility for Access
5-1. The user is responsible for keeping their username, password, verification codes, and other authentication information confidential and must prevent unauthorized persons from accessing the account.
5-2. If the user becomes aware of unauthorized access, disclosure of login information, or a possible account security breach, they must notify the Company through the support contact channel as soon as possible.
5-3. Within its technical capabilities and control, the Company takes customary security measures to protect accounts and information.
5-4. The user is responsible for consequences arising from intentionally sharing login information or failing to exercise care in protecting it, to the extent that those consequences are attributable to the user under the law.
Article 6 — Use of AI and Reliability of Outputs
6-1. Houfida's AI features are provided to assist with analysis, search, information categorization, extracting key points, drafting, and facilitating workflows. Depending on the nature of the request and the information available, their outputs may be incomplete, inaccurate, outdated, or contain errors.
6-2. AI output does not replace the user's independent review, professional judgment, legal research, or final decision-making. Before citing, sending, filing, or making practical use of any output, the user must check the accuracy of its contents, statutory provisions, court decisions, deadlines, personal details, and suitability for the matter concerned.
6-3. The Company does not guarantee the absolute accuracy, completeness, currency, or acceptance of AI outputs by judicial or administrative authorities or third parties. Nor does use of the platform guarantee any particular outcome in a case, dispute, negotiation, or legal action.
6-4. Whenever platform output quotes a statutory provision, court decision, advisory opinion, source, or legal reference, a user who needs to rely on it formally must verify the authenticity, text, and validity of the source with a reliable authority.
6-5. The user is responsible for the final decision to use outputs and for the consequences of actions taken on their basis, provided that this allocation of responsibility does not exclude or restrict the Company's mandatory statutory responsibilities.
6-6. Using AI features to generate documents or create a draft or suggestion does not, in itself, constitute completion of the final action. Final actions, including submission to a judicial authority, must be performed by the user through authorized official judicial systems for legal professionals.
Article 7 — Statutory Deadlines, Judicial Notices, and Professional Actions
7-1. Calendar, reminder, case management, and information retrieval or processing tools are provided to help users organize their work. They do not replace independent monitoring of statutory deadlines or official follow-up of cases.
7-2. The user is responsible for reviewing judicial notices, establishing the date and time of service, calculating statutory time limits, checking holidays and special rules, monitoring changes in a case, and taking the necessary actions on time.
7-3. The user must not rely solely on receiving a notification, text message, alert, or information displayed on the platform. For important matters, the user must also verify the information with an official source or competent authority.
7-4. The Company endeavors, within its technical capabilities, to provide enabled features correctly. However, if information is not received from an external source, communications are disrupted, messages are delayed, input information is incomplete, or other relevant factors arise, the expected notification or information may not be available on time or in full.
Article 8 — Case Information and the User's Professional Obligations
8-1. The user is responsible for the lawfulness of collecting, recording, uploading, using, and sharing information entered into the platform and must hold the necessary authority and permissions to do so.
8-2. With respect to information about clients, parties to proceedings, witnesses, and third parties, and with respect to confidential documents, the user must comply with legal requirements, contractual obligations, professional confidentiality, and the limits of their authority.
8-3. The user must not enter information into the platform without valid permission if they are not authorized to disclose or process it, particularly where disclosure could breach professional confidentiality, third-party rights, or data protection rules.
8-4. Before using any feature, including AI features, the user must consider the explanations of how information is processed and the associated limitations. If the information's level of confidentiality is incompatible with the stated processing conditions, the user must refrain from uploading it.
8-5. The obligations in this article describe the user's independent duties and do not transfer to the user the Company's legal responsibilities for protecting information that it processes.
Article 9 — Confidentiality, Information Processing, and Third-Party Services
9-1. Processing of user information is governed by the Houfida Privacy Policy and the supplementary explanations for each service.
9-2. Some features may be delivered using third-party hosting infrastructure, technical tools, support services, or AI services. In such cases, information necessary to provide the service may be transferred to or processed by the relevant service to the extent required.
9-3. When selecting and using third-party services, the Company undertakes, within its control and contractual obligations, to observe confidentiality, security, and the necessity of information processing. Given the combined nature of the processing infrastructure, the location where information is processed or retained may vary by service. Relevant details will, where necessary, be announced in the Privacy Policy or service-specific notices.
9-4. Use of user information to train or improve AI models is subject to the conditions stated in the Privacy Policy.
9-5. The Company does not make user information available to others for its independent sale to third parties, except to the extent that transfer of information is necessary to provide a service, meet a legal requirement, or in other legally permitted circumstances.
Article 10 — Subscriptions, Fees, and Payment
10-1. Use of the platform's features requires purchase of the relevant subscription. Each plan's duration, feature level, limitations, price, and renewal conditions are disclosed before purchase.
10-2. Subscriptions may be offered monthly, every six months, annually, or under other plans announced by the Company. The details of each plan at the time of purchase apply.
10-3. The user must pay the stated amount using valid payment methods approved by the platform. Subscription activation may be delayed until payment is confirmed.
10-4. Any taxes, duties, or statutory charges associated with the purchase will be calculated under applicable law and according to how the price is stated at the time of purchase.
10-5. Fee changes for future purchases or renewals will be applied with appropriate notice and will not, in themselves, change the price of a period already purchased and paid for, unless the parties agree otherwise or the law provides otherwise.
10-6. If automatic renewal is offered on the platform, its activation, the amount payable, the time of collection, and the cancellation method must be clearly disclosed to the user before activation. Automatic renewal is not presumed in the absence of such a feature or disclosure.
10-7. The Company may offer customized plans and agreements with different terms to certain customers, including organizations and legal entities. In that case, the customized agreement takes precedence over the general terms of this document within its subject matter.
Article 11 — Withdrawal, Subscription Cancellation, and Refunds
11-1. For subscriptions covered by a satisfaction guarantee, the Company allows refund requests within seven calendar days of purchase, provided that the purchased plan is covered by that guarantee and the conditions of this article are met.
11-2. Refund requests must be submitted through support and include sufficient information to identify the purchase and the user account. The relevant starting point for review is the time a valid request is registered in the support system.
11-3. If the request is approved, the Company will return the refundable amount within a maximum of fourteen business days, using the original payment method or another valid method agreed with the user. If repayment is delayed for reasons attributable to a bank or payment service provider, the Company will inform the user.
11-4. The seven-day guarantee may exclude organizational plans, customized agreements, bespoke services, or services expressly identified as excluded, provided that those exceptions were clearly disclosed before purchase.
11-5. In cases of unauthorized use, fraud, intentional breach of the Terms of Use, or abuse of the refund process, the Company may review and reject a request where there is a valid legal or contractual basis. Ordinary use of the platform's features does not, in itself, provide sufficient grounds for rejecting a refund request during the guarantee period.
11-6. Ending a subscription does not automatically entitle the user to repayment of all amounts paid. Refunds are subject to the applicable conditions and law.
Article 12 — Intellectual Property and Rights in the Platform
12-1. Economic and moral rights relating to the software, program code, design, user interface, marks, trade name, proprietary content, database structure, and other components belonging to the Company or their authorized owners are reserved under the relevant laws.
12-2. Purchasing a subscription grants the user only a limited, non-exclusive, non-transferable, time-limited right to use the platform's features under the purchased plan. It does not transfer ownership of the software or the Company's other intellectual property rights.
12-3. Without the rights holder's written permission, the user may not reverse engineer, reproduce, assign, commercialize, extract, or make the software or its components available to unauthorized persons.
12-4. The user's rights in information, documents, and content that they lawfully enter into the platform do not transfer to the Company merely because they are uploaded. The Company may process them only to the extent necessary to provide the service and in accordance with the Privacy Policy, valid permissions, and relevant laws.
12-5. For content generated with AI assistance, the legal status of, and ability to use, the output depend on applicable law, third-party rights, the terms of the services used, and the nature of the generated content. The Company does not presume exclusive ownership of all outputs generated for the user.
Article 13 — Prohibited Conduct
The user undertakes to use the platform for lawful purposes and in accordance with these terms. The following are prohibited:
a) Using the platform to commit a crime, violate others' rights, or facilitate unlawful activities;
b) Unauthorized access to accounts, data, infrastructure, or restricted areas of the platform;
c) Attempting to disrupt the platform's security, availability, or operation, including distributing malware or conducting cyberattacks;
d) Deliberately recording false identity or professional information, impersonating others, or misusing another person's account;
e) Uploading or publishing content that infringes intellectual property rights, professional confidentiality, or third parties' legal rights;
f) Bulk extraction of data, resale of access, or unauthorized provision of the platform's services to others;
g) Using platform features to circumvent access restrictions or technical and security rules;
h) Any other action prohibited under applicable law or published service-specific terms.
Article 14 — Suspension, Restriction, or Termination of Access
14-1. In the event of a breach of the Terms of Use, unauthorized use, a security risk, a potential violation of third-party rights, or a legal requirement, the Company may restrict or temporarily suspend access to all or part of the services in proportion to the seriousness and urgency of the matter.
14-2. Where advance notice would increase the risk, allow a violation to continue, or breach a legal requirement, the Company may first take immediate necessary action and then inform the user of the reason and the available follow-up procedure at the earliest appropriate opportunity.
14-3. Where the matter can be remedied, the Company will, as far as possible, give the user a reasonable opportunity to correct the violation or provide an explanation.
14-4. Termination or suspension of access for the reasons stated above extinguishes the user's right to claim and obtain a refund of amounts paid. The Company's right to seek compensation for any resulting damage is also reserved.
14-5. The user may request account termination or the end of their subscription through the options announced on the platform. The effects of account termination on stored information are governed by the Privacy Policy, subscription terms, and legal information-retention requirements.
Article 15 — Support, Maintenance, and Service Changes
15-1. The Company reviews user requests through the contact channels announced on houfida.com, within its available capabilities and published business hours.
15-2. Response times, support levels, and available services may vary according to the subscription type or customized agreement.
15-3. The Company may temporarily restrict access to all or part of the platform for maintenance, updates, security improvements, or technical corrections. Where possible, advance notice will be given of planned outages.
15-4. The Company may modify platform features to improve services, comply with legal requirements, or correct defects. If a change has a material adverse effect on a purchased paid service, the Company must provide appropriate notice and respect the user's rights under the agreement and applicable law.
15-5. Technical support does not include a commitment to guarantee the outcome of a case, provide individualized legal advice, or assume responsibility for the user's professional actions.
Article 16 — Responsibilities and Limits on Compensation
16-1. Each party is responsible for fulfilling its obligations and compensating for damage caused by an act or omission attributable to it under applicable law.
16-2. Within its contractual obligations and applicable law, the Company undertakes to provide the purchased services and take customary, proportionate measures to protect the platform and the information under its control.
16-3. The Company is not responsible for damage arising from the following, except to the extent that, under the law, the damage relates to an act or omission attributable to the Company:
a) Incorrect, incomplete, or misleading information entered by the user;
b) A decision or action taken by the user without independently reviewing AI output;
c) Failure to independently check deadlines, judicial notices, documents, or information that the user is required to verify;
d) Disruptions to third-party systems or services, communications networks, or infrastructure beyond the Company's reasonable control;
e) Disclosure of login information or unauthorized access resulting from conduct or negligence attributable to the user;
f) Use of the platform in breach of these terms or the published instructions.
16-4. Nothing in this document excludes or restricts any liability that cannot be waived or limited under mandatory law, including liability arising from fault or a breach attributable to the Company under the law.
16-5. In a dispute concerning damage, causation, the amount of loss, and the other conditions of liability will be assessed, as applicable, under the governing law.
Article 17 — Communications and Notices
17-1. The Company may send notices concerning the account, subscription, security, changes to terms, or service status through the user dashboard, email, text messages, or other contact channels registered by the user.
17-2. The user must keep their contact information up to date and review important messages concerning their account and security.
17-3. Sending a text message, notification, or email does not guarantee that the user will receive or view it immediately. For important matters, the user must use available official channels to follow up.
Article 18 — Amendments to the Terms of Use
18-1. The Company may amend these terms when services, legal requirements, security requirements, or the manner of providing the platform change.
18-2. The amended version will be published on the platform with its effective date. If there is a material change in users' rights or obligations, the Company will use an appropriate method to notify them.
18-3. Where continued use requires new consent, the Company will obtain the necessary consent in a valid manner. Continued use of the platform may be treated as acceptance of changes only to the extent that this is legally valid and appropriate notice has been provided.
Article 19 — Governing Law and Dispute Resolution
19-1. These terms are interpreted and applied within the framework of the applicable laws and regulations of Germany.
19-2. The parties will first seek to resolve disputes arising from use of the platform by contacting support and engaging in reasonable negotiations.
19-3. If no agreement is reached, the competent German courts will have jurisdiction over the dispute.
19-4. Contact for contractual correspondence: info@dahoup.com.
Article 20 — Final Provisions
20-1. If any part of these terms is invalid or unenforceable, the remaining provisions will remain valid to the extent that they are not necessarily dependent on the invalid part.
20-2. If the user does not exercise a right within one month of that right arising, the right is deemed waived.
20-3. In the event of a conflict between these terms and a customized agreement validly concluded between the Company and the user, the customized agreement prevails within its subject matter and the scope of the conflict.
20-4. This document, together with the Privacy Policy and each plan's specific terms, forms the framework for using the platform. Purchase-specific terms, where clearly and validly disclosed, apply to the service concerned.
